1. Acceptance of Terms

By accessing or using Prosefy ("the Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Prosefy.

2. Description of Service

Prosefy is an AI-powered writing practice platform designed to help users prepare for English language proficiency exams, including IELTS (Academic and General Training) and CELPIP. Our Service provides practice questions, AI-based grading using advanced language model technology, detailed feedback, correction suggestions, and progress tracking.

3. User Accounts

To use Prosefy, you must:

• Sign in using a valid Google account• Provide accurate and complete information• Maintain the security and confidentiality of your account• Be at least 13 years of age (or 16 in certain jurisdictions)• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

4. Free Trial and Credits

Free Trial: New users receive 3 free practice sessions with full access to grading and feedback features.Credits: After the free trial, continued access requires purchasing credits:

• Credits are purchased in packages (no subscriptions)• Each writing submission costs 1 credit to grade• No automatic renewals or recurring charges• Purchases are processed securely through Stripe• Full refund available within 7 days of purchase if no credits were used

5. User Content

Ownership: You retain ownership of the writing samples and content you submit ("User Content").License Grant: By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Process your content using AI for grading and feedback• Store your content to provide the Service• Display your content back to you within the Service

Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights to submit it.

6. AI Processing Disclosure

By using the Service, you acknowledge and agree that:

• Your writing samples and related content will be sent to third-party AI service providers for processing• Our AI service providers may process your data according to their own terms and privacy policies• Your data may be transferred to servers located in the United States• AI-generated feedback is automated and may contain errors

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose• Submit content that is offensive, harmful, defamatory, or violates others' rights• Attempt to reverse engineer, exploit, or circumvent our AI systems• Share your account credentials with others or allow unauthorized access• Use automated systems, bots, or scrapers to access the Service• Interfere with or disrupt the Service or its infrastructure• Use the Service to develop competing products• Submit content that infringes on intellectual property rights

8. AI Grading Disclaimer

IMPORTANT: Please read this section carefully.

• Our AI grading system is designed to simulate official exam scoring but is NOT affiliated with, endorsed by, or connected to IELTS, CELPIP, British Council, IDP, or any official testing organization• Scores and feedback are for practice purposes only and may not reflect actual exam results• We do not guarantee any specific outcome, score improvement, or success on official exams• AI-generated feedback may contain inaccuracies and should not be relied upon as the sole source of guidance• We recommend supplementing AI feedback with human instruction and official study materials

9. Intellectual Property

The Service, including its design, features, content, software, and branding (excluding User Content), is owned by Prosefy and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our express written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied• We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement• We are not liable for any indirect, incidental, special, consequential, or punitive damages• Our total liability shall not exceed the greater of: (a) the amount you paid for the Service in the past 12 months, or (b) $100 USD

11. Indemnification

You agree to indemnify, defend, and hold harmless Prosefy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features or the entire Service at any time with reasonable notice when possible. We are not liable for any modification, suspension, or discontinuation of the Service.

13. Termination

By You: You may terminate your account at any time by contacting us or using account deletion features when available.By Us: We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that we determine is harmful to the Service or other users.Effect: Upon termination, your right to use the Service ceases immediately. Sections 5, 8, 9, 10, 11, 14, and 16 survive termination.

14. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.Arbitration: Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law. Small claims court actions are exempt from this provision.Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For significant changes, we may also notify you via email. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of the courts for the resolution of any disputes not subject to arbitration.
